This AI Services Addendum (this “AI Addendum”) is incorporated into and forms an integral part of the OceanBase Cloud Services Agreement (the “CSA”) entered into between the applicable OceanBase Contracting Entity (as defined in the CSA) (“OceanBase”, “we”, “us”, or “our”) and you or the entity you represent (“you” or “your”, or “Customer”), and governs your access to and use of AI Services (as defined below) provided by OceanBase as a feature of the OceanBase Cloud Services.
In the event of any conflict or inconsistency between the terms and conditions of this AI Addendum and any terms or conditions of the CSA, the terms and conditions of this AI Addendum shall prevail to the extent of the conflict or inconsistency. Capitalized terms not defined in this DPA shall have the meaning set forth in the CSA.
A.1 Scope. This AI Addendum applies to all AI Services made available by OceanBase through the OceanBase Cloud Services platform. Your use of the AI Services is subject to this AI Addendum, the CSA, the Acceptable Use Policy, the DPA, and all applicable Laws.
A.2 Description of AI Services. The AI Services include AI-related products, features, and functionalities provided by OceanBase, which may be updated, expanded, or modified from time to time to reflect technological developments and service changes.
The specific features, supported models, and service scope of the AI Services are as set out on the applicable product pages and Documentation, and may be updated from time to time.
A.3 Input and Output.
A.3.1 Ownership of Input. You may provide input into the AI Services, which may include images, data, text, and other types of work (“Input”) and receive an output from the AI Services based on your Input (“Output”, and collectively, the Input and Output are “User Content”). As between the parties, Input constitutes Customer Data as defined under Section 15 of the CSA. You retain copyright and any other proprietary rights that you may hold in the Input. You authorize OceanBase, solely for the purpose of providing, maintaining, and improving the AI Services, to process, store, and transmit Input in accordance with the CSA and applicable Laws.
A.3.2 Ownership of Output. Your ownership rights in the Output are set forth in terms for each AI Model (as defined below) you use.
A.3.3 Input Representations and Warranties. You are solely responsible for your Inputs and the consequences of providing Inputs. By providing Inputs, you affirm, represent, and warrant that:
you are the creator and owner of the Inputs, or have the necessary licenses, rights, consents, and permissions to authorize us to use, reproduce, and distribute your Inputs as necessary to exercise the licenses granted by you, in the manner contemplated by us, the Service, and these Terms; and
your Inputs, and the use of your Inputs as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause us to violate any law or regulation.
A.4 Accuracy and Limitations.
A.4.1 You acknowledge that artificial intelligence and machine learning technologies are inherently probabilistic. The AI Services may generate Output that is incomplete, inaccurate, or does not reflect actual facts, individuals, or events. OceanBase does not guarantee the accuracy, completeness, reliability, suitability, or legality of any Output. Output does not represent the views, opinions, or endorsements of OceanBase.
A.4.2 You are solely responsible for evaluating and verifying the accuracy and suitability of any Output before relying on or distributing it, including conducting review where appropriate.
A.5 Customer Obligations.
A.5.1 General. You shall use the AI Services in a scientifically rational manner and in compliance with all applicable Laws. You shall not develop any reliance on the AI Services or Output, and you shall inform your End Users (if any) of the same.
A.5.2 Developer Responsibility. Where you use the AI Services to develop or provide downstream products or services to your End Users, you are solely responsible for determining the purpose and manner of your downstream services, independently processing any data arising from your End Users’ use of such products, and assuming all corresponding legal liability. You shall comply with all applicable data protection and privacy obligations and shall respect and protect the legitimate rights and interests of your End Users.
A.5.3 Compliance. You acknowledge and agree that, when using the AI Services or providing downstream services to your End Users, you shall comply with all applicable Laws, including but not limited to:
(i) conducting any required AI-related risk assessments, impact assessments, or safety evaluations;
(ii) implementing appropriate transparency measures, including disclosure to End Users that they are interacting with or receiving content generated by AI, where required by applicable Laws;
(iii) ensuring that any use of the AI Services involving automated decision-making that produces legal or similarly significant effects on individuals complies with applicable requirements, including providing meaningful information about the logic involved and ensuring appropriate oversight; and
(iv) complying with any registration, filing, labelling, or notification requirements applicable to the deployment of AI systems in the relevant jurisdictions.
A.6 Prohibited Uses. Without limiting the restrictions set out in Section 1.2 of the CSA and the Acceptable Use Policy, you shall not, and shall not permit any third party to, use the AI Services to:
(i) generate, distribute, or facilitate content that is unlawful, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
(ii) generate or disseminate content that constitutes disinformation or that is designed to mislead recipients as to its AI-generated nature;
(iii) make high-stakes automated decisions in domains that significantly affect individuals’ rights or well-being, including but not limited to law enforcement, immigration, employment, credit, insurance, education, and healthcare, without appropriate oversight and safeguards;
(iv) create, distribute, or facilitate content involving the sexual exploitation or abuse of minors, or content that facilitates trafficking or exploitation;
(v) engage in social scoring, behavioural manipulation, or exploitation of vulnerable individuals;
(vi) develop weapons, controlled substances, or other inherently dangerous materials;
(vii) conduct real-time biometric identification in publicly accessible spaces for law enforcement purposes, except to the extent expressly permitted by applicable Laws;
(viii) remove, alter, or conceal AI-generated identifiers or labels associated with the Output without a legitimate and lawful basis;
(ix) engage in or facilitate prompt injection, jailbreaking, AI poisoning, or other techniques designed to bypass safety mechanisms; or
(x) use the AI Services in any manner that violates third-party intellectual property rights, privacy rights, or other legal rights.
A.7 AI Content Labelling. You are strongly recommended to clearly and conspicuously label any Output that you publicly disseminate as “AI-generated” or with similar wording. Where applicable Laws require such labelling, you shall comply with the relevant requirements. Failure to provide such labelling is your sole responsibility.
A.8 External AI Models.
A.8.1 The AI Services may integrate AI Models provided by external providers. “AI Models” means artificial intelligence, machine learning, large language, or other algorithmic models. Your use of the AI Services that rely on such external AI Models is subject to the applicable terms, conditions, and acceptable use policies of the relevant providers.
A.8.2 Where OceanBase selects, integrates, and manages external AI Models as part of the AI Services, OceanBase shall be responsible for the overall delivery of the AI Service and for addressing service failures in accordance with the applicable Service Level Agreement. OceanBase shall also retain direction and control over the selection, integration, and service stability of such external AI Models.
A.9 Third-Party Services.
A.9.1 The relevant product pages and/or Documentation may display services that are not owned or controlled by OceanBase, including without limitation model services independently procured and integrated by you, third-party plugins, or third-party APIs (collectively, “Third-Party Services”). For clarity, OceanBase will identify such services on the relevant product pages and/or Documentation as Third-Party Services or by other similar designations. OceanBase is not responsible or liable for any Third-Party Services.
A.9.2 Your use of any Third-Party Services, including third-party plugins and third-party APIs, is subject to the applicable terms, conditions, and policies of the relevant third parties. You acknowledge that your end users’ data (if any) will be processed in accordance with such third-party terms rather than this AI Addendum or other related agreements and policies. In the event of any conflict between such third-party terms and this AI Addendum and/or other related agreements and policies, the applicable third-party terms shall prevail with respect to the relevant Third-Party Services.
A.10 Fees
A.10.1 You shall pay applicable fees for the AI Services in accordance with the relevant pricing descriptions, orders, and/or related agreements. OceanBase reserves the right to establish and adjust such fees, with specific fees determined by the applicable service page or written agreement.
A.10.2 OceanBase may offer promotions or discounts for AI Services from time to time, subject to applicable published terms. OceanBase reserves the right to revoke such benefits in cases of abuse or fraud.
A.10.3 AI Services must be purchased through supported payment methods. OceanBase may modify supported payment methods at its discretion. Payment processing may involve third-party providers, and you agree to comply with their applicable terms.
A.11 AI Services Disclaimer. WITHOUT LIMITING THE DISCLAIMERS SET OUT IN SECTION 9 OF THE CSA:
(i) OceanBase provides the AI Services with commercially reasonable efforts. OceanBase guarantees service availability in accordance with the applicable Service Level Agreement. OceanBase shall be liable for service failures as specified in the applicable Service Level Agreement;
(ii) OCEANBASE DOES NOT WARRANT THAT THE OUTPUT WILL NOT INFRINGE UPON THE INTELLECTUAL PROPERTY RIGHTS OR OTHER RIGHTS OF ANY THIRD PARTY;
(iii) OCEANBASE MAY SUSPEND, MODIFY, DISCONTINUE, OR TERMINATE ANY THIRD-PARTY AI MODEL OR AI SERVICE FEATURE with at least thirty (30) days' prior notice, except in cases of urgent security or compliance issues; AND
(iv) YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR SPECIFIC USE CASES OF THE AI SERVICES AND APPLICATION OF OUTPUT. OceanBase assumes risks associated with service delivery, availability, and compliance with the terms as specified in the Service Level Agreement.
A.12 Data Processing. We will process Customer Data (including personal data contained in Input) in accordance with the DPA during the provision of the AI Services.
